Ashland County Law Library Association, Constitution and By-Laws
Adopted October 26, 1982
ARTICLE I
PURPOSE
The purpose of the Ashland County Law Library Association (hereinafter
referred to as ACLLA) shall be to establish and maintain a law library
for the use of the members of the Ohio General Assembly, Ashland County
officers, judges of the several courts of the county, officers of the
townships, officers of municipal corporations as provided by law,
members of the ACLLA and such other persons as the Trustees may approve.
The use of said library shall be free of charge but said use shall be
governed by the rule and regulations adopted by the Trustees.
ARTICLE II
MEMBERSHIP
All members of the Ashland County Bar Association in good standing shall
be members of the ACLLA and shall be entitled to vote in the election of
Trustees of the Ashland County Law Library.
ARTICLE III
MEETINGS
1. The annual meeting of the ACLLA shall be held
in June of each year commencing in 1983 as designated by the President
of the Board of Trustees.
2. Special meetings of the ACLLA may be called by
the President or three (3) Trustees upon the giving of five (5) days
written notice to the members of the Association.
3. At all meetings of the ACLLA a quorum shall
consist of not less than 12 members.
4. The order of business at all meetings of the
ACLLA shall be as follows:
A. Determining that
a quorum is present by the Secretary of the Board of Trustees.
B. Reading of
minutes.
C. Reports to ACLLA.
D. Old Business.
E. Election of
Trustees
F. New Business
ARTICLE IV
ELECTION OF TRUSTEES
1. At the annual meeting of the ACLLA, or at a
special meeting called for that purpose, the members of the ACLLA shall
elect a Board of Trustees.
2. The Board of Trustees shall consist of five
(5) Trustees elected by the members of the ACLLA.
3. Each Trustee shall be elected for a term of
five (5) years and shall serve until his successor is elected and
qualified. Commencing in 1983 one (1) such Trustee shall be
elected annually.
4. During the year 1982, immediately following
the adoption of this constitution and by-laws by the ACLLA, five (5)
Trustees shall be elected; one (1) such Trustee shall be elected for a
term ending 6-30-83; one (1) such Trustee shall be elected for a term
ending 6-3-84; one (1) such Trustee shall be elected for a term ending
6-3-85; one (1) such Trustee shall be elected for a term ending 6-30-86;
and one (1) such Trustee shall be elected for a term ending 6-30-87.
ARTICLE V
ORGANIZATION OF TRUSTEES
1. Each year following the annual meeting of the
ACLLA, the Board of Trustees of the Ashland
County Law Library Association shall meet and organize by electing
officers of said Board as follows:
A. A President who
shall preside at all meetings of the Trustees and the ACLLA and who
shall
perform all duties
incumbent in the office of President.
B. A Vice-President
who shall perform the duties of President when the President is absent
or
disabled.
C. A Secretary who shall
maintain the records of the meetings of the Trustees and the ACLLA.
The Secretary shall
determine if a quorum is present at all meetings of the ACLLA.
2. The Board of Trustees may take action by a
vote of a majority of the members present at a meeting of the
Board of Trustees and three (3) Trustees shall be a quorum for the
transaction of business.
ARTICLE VI
DUTIES OF THE TRUSTEES
1. The Board of Trustees of the Ashland
County Law Library Association shall serve without compensation and
shall perform the following duties:
A. Administer, manage and
maintain the business and affairs of the Ashland County Law Library
Association pursuant to law and the constitution and by-laws of the
ACLLA.
B. Employ a
librarian who need not be a Trustee and such other employees as the
Trustees shall determine and fix the salaries of said employees.
C. Appoint a
Treasurer to handle the funds paid to the Ashland County Law Library
Association pursuant to law. The Treasurer need not be a Trustee.
D. Acquire or
purchase such books, periodicals or other documents, equipment and
supplies as the Trustees deem advisable.
E. The Trustees
shall establish and enforce rules and regulations for the use of the
Ashland County Law Library; take such action as they deem advisable to
prevent abuse or damage to the property of the Association and/or to
recover for damage to the property of the Association; and for good
cause shall deny the use of the Ashland County Law Library to any person
who shall violate the rules and regulations for its use.
ARTICLE VII
AMENDMENTS
This constitution and by-laws may be amended by a vote of two-thirds
(2/3) of the members of the ACLLA present at a meeting called for the
purpose of amending this constitution and by-laws upon five (5) days
written notice to the ACLLA.
